Terms and Conditions

Please read these Terms and Conditions carefully before using the Yeelance website and services.

1. Interpretation and Definitions

The following terms have the meanings set out below. These meanings apply whether the terms are used in singular or plural form.

1.1 Yeelance — “Yeelance,” “we,” “us,” or “our” refers to Yeelance, a service-providing medium through which Clients can discover, evaluate, and engage Talent.

1.2 Website — “Website” refers to the Yeelance website available at www.yeelance.com, including its pages, features, content, and related services.

1.3 Talent — “Talent” refers to the independent professionals who are part of the Yeelance network and whose skills, expertise, services, profiles, and portfolios may be presented through Yeelance. Talent may work individually or collaborate with other Talent when a Project requires multiple skills or areas of expertise.

1.4 Client — “Client” refers to an individual, business, organization, or other entity seeking to discover, contact, hire, or engage Talent through Yeelance.

1.5 Project — “Project” refers to an assignment, service requirement, engagement, or body of work undertaken for a Client by one or more Talent or a Yeelance Team.

1.6 Yeelance Team — “Yeelance Team” refers to a group of Talent brought together through Yeelance to work collectively on a Project or to address a Client’s specific requirements.

1.7 Project Agreement — “Project Agreement” refers to the terms governing a Project, including its scope, deliverables, timelines, fees, responsibilities, intellectual property rights, confidentiality obligations, and other applicable terms, as agreed between the parties involved in the Project.

1.8 Individual Portfolio — “Individual Portfolio” refers to the professional profile, work samples, experience, skills, expertise, achievements, or other information presented by or relating to an individual Talent.

1.9 Yeelance Portfolio — “Yeelance Portfolio” refers to the collection of selected work, capabilities, services, expertise, and Project examples presented by Yeelance to represent the collective capabilities of its Talent. A work displayed in the Yeelance Portfolio may have been completed by one or more Talent.

1.10 Content — “Content” refers to text, images, photographs, videos, portfolios, profiles, Project information, logos, trademarks, graphics, descriptions, documents, and other material made available through or submitted to the Website.

2. Acceptance of These Terms

These Terms and Conditions constitute an agreement between you and Yeelance concerning your use of the Website.

By accessing, browsing, or using the Website, you agree to comply with these Terms and all applicable laws and regulations.

If you do not agree with any part of these Terms, you must discontinue use of the Website.

3. Eligibility

You must be at least 18 years of age to use Yeelance.

By using the Website, you represent that you are legally capable of entering into a binding agreement under applicable law.

If you access or use Yeelance on behalf of a business, organization, or other legal entity, you represent that you have the authority to act on its behalf.

4. Yeelance and Its Role

Yeelance is a service-providing medium through which Clients can discover, evaluate, and engage Talent.

Yeelance may introduce individual Talent to Clients or, where the requirements of a Project call for multiple areas of expertise, assemble a Yeelance Team suited to the requirements of the Project.

Depending on the nature of a Project, Yeelance may facilitate introductions, assist with discussions, coordinate Talent, assemble a Yeelance Team, help structure the engagement, or provide other support in connection with the Project.

A Project may therefore involve individual Talent, multiple Talent working together, or a Yeelance Team, depending on the requirements of the Project.

The extent of Yeelance's involvement may vary from one Project to another and will depend on the nature of the services and arrangements agreed for that Project.

The respective rights, responsibilities, deliverables, fees, timelines, intellectual property arrangements, and other applicable terms for a Project should be established in the Project Agreement.

Nothing in these Terms by itself creates an employment relationship between Yeelance and Talent.

5. Talent

Talent are responsible for the accuracy of their professional information, qualifications, experience, skills, availability, representations, and commitments.

Talent must provide information that is truthful and not misleading.

Talent must not knowingly present another person's work, qualifications, experience, or achievements as their own.

Talent are responsible for ensuring that they have the necessary rights and permissions to provide any Content, work samples, images, or other material submitted to Yeelance.

Where Talent collaborate with other Talent on a Project, the participating Talent are responsible for determining their respective roles, responsibilities, contributions, and working arrangements, subject to the Project Agreement and any other applicable arrangements.

6. Clients

Clients are responsible for providing accurate and sufficient information regarding their requirements, expectations, Project scope, timelines, and other relevant matters.

Clients are responsible for evaluating Talent and Yeelance Teams before entering into an engagement.

Clients should independently verify any information that is material to their decision to engage particular Talent or a Yeelance Team.

Clients are responsible for complying with applicable laws, regulations, contractual obligations, and other requirements relating to their Projects and engagements.

7. Projects and Engagements

Yeelance may facilitate or coordinate the engagement of Talent or a Yeelance Team for Projects based on requirements communicated by a Client.

A Project may be undertaken by an individual Talent, multiple Talent working together, or a Yeelance Team, depending on the nature, scope, and requirements of the Project.

Yeelance may assist in identifying suitable Talent, introducing Talent to a Client, assembling a Yeelance Team, coordinating the participation of multiple Talent, and facilitating discussions concerning the Project.

Where a Yeelance Team is assembled for a Project, Yeelance may coordinate the participation of the relevant Talent and facilitate the organization of their respective contributions.

The scope of a Project, including deliverables, timelines, fees, responsibilities, intellectual property rights, confidentiality obligations, and other applicable terms, should be established in the Project Agreement.

Where multiple Talent contribute to a Project, the Project Agreement may specify their respective responsibilities and contributions.

Yeelance does not guarantee that a Client will engage any particular Talent, that a particular Yeelance Team will be available, or that a Project will achieve a particular result.

8. Individual Portfolio

An Individual Portfolio may contain information and work samples associated with a particular Talent.

Talent are responsible for ensuring that the information and materials included in or submitted for their Individual Portfolio are accurate and that they have the necessary rights or permissions to display such material.

The inclusion of work in an Individual Portfolio does not constitute a representation by Yeelance that Yeelance independently verified every claim, qualification, or work sample presented by the Talent.

Clients should conduct their own assessment before entering into an engagement.

9. Yeelance Portfolio

Yeelance may create, maintain, edit, organize, and display a curated Yeelance Portfolio to communicate the collective capabilities and expertise available through its Talent network.

The Yeelance Portfolio may include selected work completed by individual Talent, multiple Talent, or a Yeelance Team.

The inclusion of a Project or work sample in the Yeelance Portfolio does not mean that every Talent associated with Yeelance participated in that work.

Yeelance may determine how work is presented within the Yeelance Portfolio, including how it is categorized, described, arranged, or displayed.

10. Content Submitted to Yeelance

You remain responsible for Content that you provide, submit, or make available to Yeelance.

By providing Content to Yeelance, you represent that:

  • you own the Content or have the necessary rights and permissions to provide it
  • providing the Content does not violate applicable law or third-party rights
  • the Content is not knowingly false or misleading and
  • Yeelance's permitted use of the Content under these Terms will not violate third-party rights.

You must not provide Content that infringes copyright, trademark, privacy, confidentiality, contractual rights, or other rights belonging to another person or organization.

11. Licence to Use Submitted Content

By providing Content to Yeelance, you grant Yeelance a non-exclusive, worldwide, royalty-free licence to use, reproduce, display, publish, distribute, adapt, format, and otherwise use that Content for the purposes of operating, presenting, promoting, marketing, and improving Yeelance and its services.

This licence includes the right to use appropriate Content in Individual Portfolios, the Yeelance Portfolio, the Website, proposals, presentations, social media, advertising, promotional materials, and other reasonable marketing or business communications relating to Yeelance.

Where Content relates to a completed Project, its use remains subject to the Project Agreement and any applicable contractual restrictions, confidentiality obligations, or third-party rights.

This licence does not transfer ownership of the Content to Yeelance.

You retain ownership of Content that you own, subject to the rights and permissions granted under these Terms.

12. Intellectual Property

The Website, Yeelance name, logo, branding, design, layout, original text, graphics, features, functionality, and other materials created or provided by Yeelance are owned by or licensed to Yeelance and are protected by applicable intellectual property laws.

You may not copy, reproduce, modify, distribute, publicly display, commercially exploit, or create derivative works from Yeelance's intellectual property without prior written permission, except where permitted by applicable law.

Nothing in these Terms transfers ownership of Yeelance's intellectual property to any Client or Talent.

13. Project Work and Ownership

Ownership and permitted use of work created in connection with a Project shall be determined by the Project Agreement and any rights belonging to third parties.

Where multiple Talent contribute to a Project or form part of a Yeelance Team, the Project Agreement may specify the rights and responsibilities associated with their respective contributions.

Yeelance does not automatically acquire ownership of work created by Talent merely because Yeelance introduced, assembled, coordinated, or otherwise facilitated the Project.

Likewise, a Client does not automatically acquire ownership of pre-existing materials, tools, methods, concepts, templates, or other intellectual property belonging to Talent or Yeelance merely because those materials are used in connection with a Project.

Clients, Talent, and Yeelance, where applicable, are responsible for clearly establishing ownership and permitted use of Project work where those matters are relevant.

Where Yeelance itself creates or contributes original material to a Project, the ownership and permitted use of that material should be determined by the applicable Project Agreement.

14. Portfolio Rights After a Project

Where a Project has been completed, the display of that work in an Individual Portfolio or the Yeelance Portfolio will depend on the rights and permissions applicable to that work.

Talent and Yeelance must not knowingly display Client-owned or third-party material where such display is prohibited by the Project Agreement or another applicable agreement or legal restriction.

Where necessary, the Project Agreement should clearly establish any restrictions on the use of Project work in an Individual Portfolio or the Yeelance Portfolio.

15. Confidentiality

Clients and Talent may receive or have access to confidential or proprietary information in connection with a Project.

Each party is responsible for protecting confidential information received from another party and for using such information only for the purpose for which it was disclosed, unless otherwise permitted or required by law.

Where a Project involves sensitive, proprietary, or commercially confidential information, the Project Agreement should establish appropriate confidentiality obligations before such information is shared or used.

Yeelance may receive confidential information in connection with its role in facilitating or coordinating a Project and will handle such information in accordance with applicable obligations and its Privacy Policy where personal information is involved.

16. Project Changes, Cancellation, and Withdrawal

A Project may be changed, paused, cancelled, or discontinued depending on the circumstances and the terms of the Project Agreement.

A Client may request changes to the scope, deliverables, timelines, or other requirements of a Project. Any material change should be agreed with the relevant parties and, where applicable, Yeelance.

Talent may become unavailable or unable to continue participating in a Project. Where appropriate, Yeelance may assist in identifying alternative Talent or reorganizing the Project.

Where multiple Talent are involved, the departure or unavailability of one Talent may require adjustments to the Project or the involvement of other Talent.

Yeelance may discontinue its involvement in a Project where reasonably necessary due to operational, professional, legal, security, or other legitimate reasons.

Any financial, contractual, intellectual property, or other consequences resulting from a Project change or cancellation shall be determined in accordance with the Project Agreement and any separate commercial arrangement applicable to Yeelance.

17. Acceptable Use

You agree to use the Website lawfully and responsibly.

You must not use Yeelance to:

  • provide knowingly false or misleading information
  • impersonate another person or organization
  • infringe another person's intellectual property or other legal rights
  • upload unlawful, defamatory, abusive, threatening, discriminatory, or harmful Content
  • use the Website for unlawful purposes
  • interfere with the security, operation, or availability of the Website
  • introduce malicious code, viruses, or other harmful material
  • scrape, copy, reproduce, or commercially exploit Website Content without permission
  • misuse another person's personal information
  • engage in fraudulent, deceptive, or abusive conduct or
  • knowingly engage in conduct that may materially harm Yeelance, its Clients, or its Talent.

18. Content Review and Removal

Yeelance may review Content where reasonably necessary to operate, maintain, protect, or improve the Website.

Yeelance may remove, restrict, edit, or decline to publish Content that it reasonably believes:

  • violates these Terms
  • may infringe the rights of another person
  • is unlawful or potentially unlawful
  • is misleading or fraudulent
  • is inappropriate for the Website or
  • may create a material risk to Yeelance, its Clients, or its Talent.

Yeelance is not obligated to monitor all Content or independently verify every statement made by users.

19. Fees and Payments

Fees and payment arrangements may vary depending on the nature of a Project and the applicable arrangement.

Where Yeelance charges a Client directly for services, coordination, or other services provided in connection with a Project, the applicable fees, payment terms, taxes, and other commercial conditions will be communicated to the Client before or at the time of the relevant engagement.

Where payments are made directly between a Client and Talent, the applicable fees, payment arrangements, invoices, payment schedules, and other commercial terms shall be governed by the Project Agreement.

Unless Yeelance expressly agrees otherwise in writing, Yeelance is not responsible for collecting, holding, transferring, or enforcing payment obligations arising directly between a Client and Talent.

Any taxes, duties, levies, or other statutory charges applicable to a payment or engagement shall be the responsibility of the party to whom they legally apply.

Yeelance may use third-party payment processors or other payment services where such functionality is introduced or required for a particular Project. Any such payment may also be subject to the terms and policies of the applicable payment service.

20. No Guarantee

Yeelance makes reasonable efforts to present Talent and information accurately but does not guarantee:

  • the availability of any particular Talent
  • the suitability of Talent or a Yeelance Team for a particular Project
  • the accuracy of every statement or work sample presented by Talent
  • the quality, timeliness, legality, or outcome of services provided in connection with a Project
  • that a Client will select any Talent or Yeelance Team
  • that Talent will receive any particular Project or opportunity or
  • that any Project will achieve a particular result.

Clients are responsible for conducting their own assessment before engaging Talent or a Yeelance Team.

Talent are responsible for determining whether a Client or Project is suitable for them.

21. Independent Relationships and Project Coordination

Talent are independent professionals responsible for their own professional activities and obligations.

Depending on the nature of a Project, Yeelance may coordinate the involvement of one or more Talent in addressing a Client's requirements.

Where a Yeelance Team is assembled for a Project, Yeelance may coordinate the participation of the relevant Talent, facilitate communication, assist with the organization of the work, or otherwise support the Project where applicable.

Such coordination does not by itself create an employment relationship between Yeelance and Talent.

The responsibilities of Yeelance and participating Talent may differ depending on the nature of the Project and the terms established in the Project Agreement.

Nothing in these Terms prevents Yeelance from being a party to a Project Agreement or from providing coordination, support, or other Project-related services where such involvement forms part of the applicable arrangement.

22. Non-Circumvention

Where Yeelance introduces Talent to a Client or facilitates an engagement between them, the Client agrees not to knowingly circumvent Yeelance by using the introduction to avoid Yeelance's agreed commercial involvement in the relevant relationship or Project.

This provision applies where Yeelance has a legitimate commercial arrangement or agreed role connected with the relevant introduction or Project.

Nothing in this section prevents a Client or Talent from maintaining legitimate professional relationships that existed independently before an introduction through Yeelance.

The scope and duration of any specific commercial restrictions may be established separately for a particular Project or engagement where appropriate.

23. Third-Party Websites and Services

The Website may contain links to third-party websites, platforms, tools, or services.

Yeelance does not control those third parties and is not responsible for their content, availability, security, privacy practices, or terms.

Your use of third-party websites or services may be subject to separate terms and policies.

24. Website Availability

Yeelance aims to maintain the Website and keep it reasonably available.

However, Yeelance does not guarantee that the Website will always be available, uninterrupted, secure, error-free, or free from technical problems.

Yeelance may modify, suspend, restrict, or discontinue any part of the Website where reasonably necessary for maintenance, security, technical, operational, legal, or business reasons.

25. Suspension and Removal

Yeelance may restrict access to the Website or remove Content where it reasonably believes that these Terms have been violated or where such action is necessary to protect Yeelance, its Clients, Talent, or other persons.

Yeelance may also remove or modify an Individual Portfolio, Yeelance Portfolio content, or other Content where reasonably necessary.

Any restriction or removal under this section does not affect rights or obligations that arose before the restriction or removal.

26. Limitation of Liability

To the maximum extent permitted by applicable law, Yeelance and its owners, directors, employees, representatives, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to your use of, or inability to use, the Website or services provided through Yeelance.

This may include loss of profits, revenue, business opportunities, data, goodwill, reputation, or expected savings.

Where Talent are involved in providing services for a Project, Yeelance is not responsible for losses arising from the independent professional acts, omissions, representations, or failures of Talent, except to the extent that such liability cannot lawfully be excluded or arises directly from Yeelance's own acts or omissions.

Where Yeelance itself provides coordination, support, or other services in connection with a Project, any liability arising directly from those services shall be subject to the applicable Project Agreement and any other applicable arrangement.

Yeelance is not responsible for disputes between other parties to a Project concerning matters that fall outside Yeelance's agreed responsibilities under the Project Agreement.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

27. Disclaimer

The Website and its Content are provided on an “as is” and “as available” basis to the maximum extent permitted by applicable law.

Yeelance does not warrant that the Website or its Content will always be complete, accurate, reliable, secure, available, or suitable for a particular purpose.

Information about Talent and Yeelance Teams is provided primarily for discovery and informational purposes. Clients should independently verify information that is material to their decision to proceed with a Project.

28. Privacy

Yeelance may collect and process personal information in connection with the operation of the Website.

The collection, use, storage, and handling of personal information are governed by the Yeelance Privacy Policy.

By using the Website, you acknowledge that personal information may be processed in accordance with the Privacy Policy.

29. Dispute Resolution

Any dispute concerning Yeelance or these Terms should first be addressed through good-faith informal discussions between the relevant parties.

The parties should make reasonable efforts to resolve the matter informally before commencing formal proceedings, unless urgent legal relief or another exception is reasonably necessary.

Disputes arising solely between a Client and Talent in connection with a Project should be addressed by the relevant parties in accordance with the Project Agreement.

Where Yeelance is a party to the Project Agreement, disputes involving Yeelance shall be addressed in accordance with the applicable terms of that Project Agreement and these Terms.

30. Governing Law and Jurisdiction

These Terms and your use of the Website shall be governed by and interpreted in accordance with the laws of India.

Subject to applicable law, the courts located in Bengaluru, Karnataka, India shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or your use of the Website.

31. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be modified or interpreted to the extent necessary to make it valid and enforceable while preserving its intended purpose as far as legally possible.

The remaining provisions shall continue in full force and effect.

32. Waiver

A failure or delay by Yeelance to exercise any right or require performance of any provision under these Terms shall not constitute a waiver of that right or provision.

A waiver of any particular breach shall not constitute a waiver of any subsequent breach.

33. Changes to These Terms

Yeelance may update or modify these Terms from time to time.

When changes are made, the revised version will be published on this page together with the updated “Last updated” date.

Your continued use of the Website after revised Terms become effective constitutes your acceptance of those revised Terms.
